1. Acceptance of Terms

By creating an account or using any Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines applicable to specific features. If you are using a Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

The Unfair Studio is a suite of AI-powered SaaS platforms built for independent businesses, established experts, coaches, authors, and broadcasters. Each platform provides distinct functionality including leadership intelligence, voice practice, community management, broadcast publishing, pipeline automation, operations management, reputation monitoring, and market intelligence. The specific features available to you depend on your subscription plan and the platform(s) you access.

The Company reserves the right to modify, suspend, or discontinue any Service or feature at any time with reasonable notice.

3. Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately at support@theunfairai.com of any unauthorized access or security breach

Accounts may not be shared, transferred, or sold without our prior written consent.

4. Acceptable Use

You agree not to:

• Use any Service for any unlawful purpose or in violation of applicable laws or regulations
• Attempt to gain unauthorized access to any systems, networks, or accounts
• Interfere with, disrupt, or overburden any Service or its infrastructure
• Upload or transmit malicious code, viruses, or harmful content
• Impersonate any person, entity, or organization
• Use automated tools, bots, or scripts to scrape, extract, or harvest data
• Exceed rate limits or abuse API access in a manner that degrades service for others
• Attempt to reverse engineer, decompile, or derive source code from any Service
• Use any Service to build a competing product or service without our prior written consent
• Use any Service to harass, defame, or harm any individual or group

5. Privacy and Data

Your use of our Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, and protect your personal information. By using any Service, you consent to our data practices as described therein.

6. Subscription and Payment

6.1 Plans

Our Services are offered on paid subscription plans, and may also be offered as one-off purchases. Each plan includes a stated number of practice sessions per calendar month; a session is a single recorded practice interview of up to 30 minutes, and ending a session early still counts as one session. Unused sessions do not roll over. Sessions taken beyond a plan's monthly allowance may be charged at the per-session rate shown at the time. Features, usage limits, and capabilities vary by plan and platform. We reserve the right to modify plan structures and pricing with notice to active subscribers.

6.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All prices are in USD unless otherwise specified at the time of purchase. Payment is processed by our third-party payment processor (Stripe). We do not store your full payment card details.

6.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you retain access until that date.

6.4 Refunds

We offer a 14-day money-back guarantee for annual plans. Monthly plans are non-refundable except where required by applicable law. Refund requests must be submitted to support@theunfairai.com within the eligible period.

7. Intellectual Property Rights

7.1 Ownership

All rights, title, and interest in and to the Services, including all intellectual property rights (patents, copyrights, trademarks, trade secrets, and other proprietary rights), are and will remain the exclusive property of The Unfair AI LLC and its licensors. Nothing in these Terms transfers any ownership rights to you.

7.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include any right to sublicense, resell, redistribute, or commercialize the Services.

7.3 Restrictions

You may not:

• Copy, modify, adapt, translate, or create derivative works of any platform
• Rent, lease, lend, sell, redistribute, or sublicense access to any platform
• Remove, alter, or obscure any proprietary notices, labels, or marks
• Use any platform to benchmark or monitor its availability for competitive purposes
• Frame or mirror any platform on any other site without written permission

7.4 Feedback

Any feedback, suggestions, ideas, or recommendations you provide regarding any Service (“Feedback”) becomes the property of The Unfair AI LLC. We may use, modify, and incorporate such Feedback without restriction, obligation, or compensation to you.

7.5 Your Content

You retain ownership of the data and content you submit to our Services. By using the Services, you grant The Unfair AI LLC a worldwide, non-exclusive, royalty-free license to use your content solely to: (a) provide and operate the Services; (b) improve and develop new features; (c) generate anonymized, aggregated benchmarks; and (d) conduct AI model training using anonymized data only, as described in our Privacy Policy.

7.6 Confidentiality

The analysis algorithms, AI prompts, scoring methodologies, and internal processes underlying our Services constitute confidential and proprietary trade secrets of The Unfair AI LLC. You agree to maintain the confidentiality of any such information you may access and not to disclose it to third parties.

8. Third-Party Services

Our Services may integrate with or link to third-party services and APIs. We are not responsible for the practices, availability, or content of any third-party services. Your use of third-party integrations is subject to those parties’ own terms and conditions.

9. Disclaimers

9.1 “As Is” Basis

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9.2 No Professional Advice

Our Services provide AI-generated insights and tools for informational purposes only. They are not a substitute for professional advice including legal, financial, medical, coaching, or management consultation. You should not rely solely on our Services for significant business or personnel decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE UNFAIR AI LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless The Unfair AI LLC and its officers, directors, employees, agents, and licensors from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable laws or regulations; or (d) your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to any or all Services at any time, with or without cause and with or without notice. You may terminate your account at any time by contacting us at support@theunfairai.com. Upon termination, your right to use the Services will immediately cease. Sections 7, 9, 10, 11, and 14 survive any termination or expiration of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the “Last Updated” date above, and where practicable, by email. Your continued use of any Service after changes are posted constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Louisiana, USA. You consent to personal jurisdiction and venue in such courts.

15. Miscellaneous

These Terms constitute the entire agreement between you and The Unfair AI LLC regarding your use of the Services. If any provision is found unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions remain in full force. Our failure to enforce any right or provision will not be considered a waiver.
